These Terms of Service govern access to and use of Innovation Peer's websites, applications, automation project tools, intake forms, supplier lookup features, document generation features, review workflows, and related services.
Who we are
Innovation Peer Inc. is an Ontario, Canada-based company that helps industrial teams define, structure, assess, and prepare automation project information before engaging suppliers.

Agreement to these Terms
By accessing or using the Services, creating an account, submitting information, generating project materials, requesting review, or otherwise interacting with Innovation Peer, you agree to these Terms.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "your" refer to both you and that organization.
If you do not agree to these Terms, do not use the Services.
Business-use service
The Services are intended primarily for business, industrial, commercial, and professional use. They are not designed for children, consumer household use, emergency use, or safety-critical decision-making.
You must be at least the age of majority in your jurisdiction to use the Services.
What Innovation Peer provides
Innovation Peer may provide tools and workflows that help users describe industrial processes, identify automation pathways, create Automation Project records, estimate preliminary economics, prepare assessments and supplier-facing scope materials, review readiness, organize documentation, request internal review, search publicly available supplier information, and prepare for supplier engagement after customer approval.
The Services support early-stage automation planning and documentation. They do not replace qualified engineering, safety, legal, financial, procurement, or operational review.
No engineering, safety, procurement, legal, or financial advice
Innovation Peer does not provide, and the Services must not be treated as providing:
- final engineering design
- professional engineering services
- safety certification
- machine guarding validation
- robot safety assessment
- code compliance approval
- final feasibility approval
- final investment approval
- final procurement advice
- legal advice
- tax advice
- accounting advice
- final quotations
- binding supplier recommendations
- guaranteed cost, savings, ROI, payback, schedule, or performance outcomes
All outputs are preliminary and must be reviewed by qualified professionals before being used for procurement, implementation, production, safety, engineering, investment, or operational decisions.
You are responsible for obtaining appropriate professional advice, including from licensed professional engineers, safety professionals, legal counsel, financial advisors, procurement specialists, and qualified automation suppliers where required.
AI-assisted outputs
Some Services may use artificial intelligence, automated rules, structured calculations, templates, or other software-assisted methods.
AI-assisted outputs may be incomplete, inaccurate, outdated, inconsistent, or inappropriate for your circumstances. You are responsible for reviewing all outputs before relying on them.
Innovation Peer does not warrant that AI-assisted outputs are correct, complete, safe, compliant, commercially reasonable, or suitable for your project. AI-assisted outputs are not final professional advice. Human review is required.
Automation Project records
When you submit project information, Innovation Peer may create or update a structured Automation Project record including intake answers, descriptions, assumptions, generated outputs, notes, review status, document versions, supplier-sharing approvals, and activity history.
The structured Automation Project record is the primary working record for the Services. Generated text, summaries, documents, and exports may be derived from that record but may not capture every detail or limitation.
You are responsible for ensuring that information you submit is accurate, complete, current, and authorized.
Customer submissions
You may submit text, files, data, project descriptions, process information, company information, supplier information, images, videos, drawings, specifications, financial assumptions, and other content.
You represent and warrant that you have the right to submit the content; the content does not violate law, contract, confidentiality, intellectual property, or privacy rights; and the content does not include information you are prohibited from sharing.
- Do not submit unnecessary personal information, sensitive employee information, export-controlled information, classified information, trade secrets you are not authorized to disclose, or safety-critical information that should only be reviewed by qualified professionals.
- Do not submit information that your organization, customer, supplier, or any third party has prohibited you from sharing.
Licence to use customer submissions
As between you and Innovation Peer, you retain ownership of the content you submit, subject to any rights held by third parties.
You grant Innovation Peer a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, structure, analyze, transform, display, transmit, and create derivative materials from your submissions solely to provide, secure, improve, support, and administer the Services; generate outputs; provide review services; comply with law; and exercise Innovation Peer's rights under these Terms.
This licence continues for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, enforce agreements, maintain records, and protect legitimate business interests.
Confidentiality and project privacy
Innovation Peer treats non-public project information as confidential customer information, subject to these Terms and the Privacy Policy.
Project information is private by default. Supplier contact requires your approval.
- Innovation Peer will not intentionally disclose non-public project information to automation suppliers or delivery partners unless you approve the disclosure; disclosure is required to provide a Service you requested; disclosure is required by law; disclosure is necessary to protect rights, safety, security, or prevent fraud or misuse; or the information has been de-identified, aggregated, or otherwise no longer reasonably identifies you or your organization.
Supplier sharing
Innovation Peer may provide tools that help prepare project information for supplier review. A document labelled supplier-ready or supplier preparation does not mean the document has been approved for supplier sharing or that it is complete, final, safe, or technically validated.
Before sharing project information with suppliers, you must approve what information may be shared, with whom, and for what purpose.
Unless separately agreed in writing, Innovation Peer does not guarantee that any supplier will respond, quote, accept a project, meet your requirements, or deliver a successful implementation.
Supplier Lookup and supplier information
Supplier Lookup may display or organize publicly available company information, user-submitted information, supplier-submitted information, or Innovation Peer-curated information.
Supplier Lookup is not a public ranking system, final recommendation engine, quote marketplace, or guarantee of supplier qualification.
Supplier information may be incomplete, outdated, inaccurate, or based on public sources. You are responsible for independently verifying any supplier before engaging them.
Innovation Peer may update, remove, classify, or decline to publish supplier information at its discretion.
No pay-to-rank commitment
Innovation Peer may have commercial relationships with customers, suppliers, partners, or other third parties now or in the future.
Innovation Peer does not sell pay-to-rank placement in project-specific supplier recommendations. Where supplier matching or suggestions are provided, they should be based on relevant criteria such as capability fit, geography, role, industry experience, project requirements, customer constraints, and available information.
Innovation Peer may display sponsored content, partner content, paid listings, or commercial relationships in the future, but such content should be identified where legally required or where necessary to avoid misleading users.
Paid services
Some Services may be free. Other Services may require payment, subscription, credits, a statement of work, or separate written agreement.
Unless otherwise stated in a separate written agreement: fees are in Canadian dollars; fees are non-refundable once work begins; taxes are additional; paid review services are advisory and preliminary; timelines are estimates only; payment does not guarantee a particular project outcome, supplier response, ROI, quote, approval, or implementation result.
If there is a conflict between these Terms and a signed written agreement between you and Innovation Peer, the signed agreement controls for the specific subject matter of that agreement.
Accounts and security
You may need an account to use certain Services. You are responsible for providing accurate account information, maintaining credential confidentiality, restricting account access to authorized users, promptly notifying Innovation Peer of unauthorized access, and all activity under your account.
Innovation Peer may suspend or terminate access if it reasonably believes an account is compromised, misused, unlawful, or harmful.
Acceptable use
You must not:
- use the Services unlawfully or deceptively
- submit content you are not authorized to share
- upload malware or harmful files
- attempt to bypass security or access controls
- scrape or bulk extract data except as expressly permitted
- reverse engineer the Services except where prohibited by law from restricting that right
- interfere with service availability
- use the Services to create competing datasets, models, or services without permission
- misrepresent Innovation Peer outputs as final engineering, safety, legal, procurement, or financial advice
- use outputs to make safety-critical or production-critical decisions without qualified review
- use the Services to violate privacy, intellectual property, employment, export control, anti-spam, anti-corruption, or procurement laws
- submit controlled technical data or regulated data unless Innovation Peer has expressly agreed in writing to handle that category of information
Intellectual property
Innovation Peer and its licensors own the Services, software, workflows, templates, designs, user interfaces, databases, models, prompts, documentation, branding, logos, and other intellectual property associated with the Services.
Subject to your compliance with these Terms, Innovation Peer grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for your internal business purposes.
You may use outputs generated for your organization's internal planning, review, and procurement preparation, subject to these Terms and any applicable paid-service agreement.
You must not remove disclaimers, notices, limitations, or source context from outputs in a way that makes them misleading.
Feedback
If you provide feedback, suggestions, ideas, corrections, or improvement requests, you grant Innovation Peer a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation.
Third-party services
The Services may rely on third-party providers for hosting, authentication, analytics, communications, AI processing, payment processing, databases, file storage, or other functionality.
Innovation Peer is not responsible for third-party services, websites, terms, policies, acts, omissions, outages, or security incidents except to the extent required by law.
Data protection and privacy
Innovation Peer's collection, use, disclosure, retention, and protection of personal information are described in the Privacy Policy.
By using the Services, you acknowledge the Privacy Policy.
Business project information may include personal information, confidential business information, and technical information. You are responsible for ensuring you have authority and any required notices or consents before submitting such information.
Beta, previews, and experimental features
Some features may be labelled alpha, beta, preview, experimental, or pilot. Such features may be incomplete, unstable, inaccurate, unavailable, or changed without notice.
Innovation Peer may modify, suspend, restrict, or discontinue any Service or feature at any time.
Disclaimers
To the maximum extent permitted by law, the Services and all outputs are provided "as is" and "as available."
Innovation Peer disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, completeness, security, and suitability for your project.
- the Services will be uninterrupted, error-free, secure, or available at all times
- outputs will be accurate, complete, current, safe, compliant, or suitable
- defects will be corrected
- suppliers will respond or perform
- any automation project will be feasible, profitable, safe, compliant, approved, funded, quoted, or successfully implemented
Limitation of liability
To the maximum extent permitted by law, Innovation Peer and its directors, officers, employees, contractors, advisors, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or aggravated damages, including lost profits, lost revenue, lost savings, lost production, downtime, business interruption, loss of data, loss of goodwill, procurement losses, failed projects, safety incidents, implementation failures, or cost overruns.
To the maximum extent permitted by law, Innovation Peer's total aggregate liability for all claims relating to the Services will not exceed the greater of (a) CAD $100; or (b) the amount you paid Innovation Peer for the specific Service giving rise to the claim in the 12 months before the event giving rise to liability.
Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.
Indemnity
You agree to defend, indemnify, and hold harmless Innovation Peer and its directors, officers, employees, contractors, advisors, affiliates, suppliers, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to your use of the Services; your submissions; your breach of these Terms; your violation of law; your infringement or misuse of third-party rights; your reliance on outputs without appropriate review; your supplier engagements, procurement decisions, automation projects, or implementation decisions; or any dispute between you and your employees, suppliers, customers, contractors, or business partners.
Suspension and termination
Innovation Peer may suspend or terminate access to the Services if you breach these Terms; your account is inactive; payment is overdue; your use creates risk or legal exposure; your use may harm Innovation Peer, users, suppliers, or third parties; required by law; or the Services are discontinued.
You may stop using the Services at any time.
Sections that by their nature should survive termination will survive, including confidentiality, intellectual property, disclaimers, limitation of liability, indemnity, governing law, dispute resolution, and payment obligations.
Changes to these Terms
Innovation Peer may update these Terms from time to time. The updated Terms will be posted with a new Last Updated date.
If changes are material, Innovation Peer may provide additional notice where required by law.
Your continued use of the Services after changes take effect means you accept the updated Terms.
Governing law and courts
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.
Subject to any mandatory laws that apply to you, the courts located in Ontario, Canada will have exclusive jurisdiction over disputes relating to these Terms or the Services.
Nothing in these Terms limits rights that cannot be limited under applicable law.
